1About these terms

These Terms and Conditions apply when you use Opyqa products and services, buy a license or request a quote. Opyqa is operated by Opyqa LTD.

By creating an account, placing an order or using our products, you agree to these terms. If you agree on behalf of a business, you confirm you can act for it.

2Our services

Opyqa provides white-label payment infrastructure that businesses run under their own brand:

  • Exchanger: a branded exchange with a customer website, user panel, admin panel and user manual, used under a time-based license.
  • Add-ons: optional extras for the exchanger, such as the Telegram mini app or iOS and Android apps, provided under a separate quote.
  • Payment gateway: a custodial crypto payment gateway for accepting payments and sending payouts.
  • Cards: branded crypto cards for your users, virtual and physical.

Your customers deal with your business. Opyqa provides the technology behind it.

3Your account

  • You can create a dashboard account or check out with an email address. Either way, the details you give must be correct and up to date.
  • Keep your login details safe. You are responsible for activity on your account.
  • Tell us right away at contact@opyqa.com if you think your account has been used without permission.

4Prices and payment

  • Exchanger license: $100 for 1 month, $290 for 3 months, $550 for 6 months or $1,000 for 12 months. Add-ons are not included.
  • Payment gateway: 0.4% on payments received and 0% on payouts, plus the network fee of each blockchain.
  • Cards and add-ons: priced by individual quote.
  • All prices are in USD and can be negotiated. Terms agreed in a written quote or agreement take priority over the prices listed on the website.

We accept payment in USDT (TRC20, ERC20, BEP20), USDC (ERC20, BEP20), BTC and ETH. You must send the exact amount, in the selected coin, on the selected network. Each order gets its own deposit address, generated with our MPC wallet technology. Funds sent in another coin or on another network may be lost and cannot always be recovered.

An order is confirmed once we have confirmed the payment on the network.

5License period and renewal

  • The exchanger license runs for the period you paid for, starting [when the license period starts].
  • To keep using the exchanger after the period ends, renew it for a new period. You can choose a different length.
  • If a license is not renewed, [what happens to access and data].

6Refunds

[Refund policy to be confirmed.] Because payments are made in crypto, any refund agreed with us is sent in crypto to a wallet address you provide.

7Your responsibilities as a partner

  • You run your business under your own brand and are responsible for your relationship with your customers.
  • You are responsible for the licenses, registrations and compliance that apply to your business in the countries where you operate.
  • You must not use Opyqa products for anything illegal, fraudulent or that breaks the rules of card networks or payment providers.
  • You follow the brand guidelines when you use the Opyqa name or logo, for example in a "Powered by Opyqa" badge.

8Payment gateway

  • The gateway is custodial. Funds are held by the gateway provider behind it, not by Opyqa, until they are paid out to you.
  • Payouts are sent to the wallet you set, on the schedule you choose, with the network fee deducted.
  • We may pause or review a transaction when needed to meet anti-money-laundering and know-your-customer obligations.

9Cards

  • Cards are also subject to the cardholder terms that come with them. Cards without KYC cannot be added to Apple Pay or Google Pay.
  • Cards cannot be used with restricted merchants and categories. The current list is shown on the Cards page and can change without notice.
  • Payments to restricted merchants may be declined, and repeated attempts can lead to a card being suspended.

10Brand and intellectual property

  • Your brand, name and logo remain yours.
  • The Opyqa software, design and brand remain the property of Opyqa LTD. A license gives you the right to use the software for its period. It does not transfer ownership.

11Affiliate program

Rewards in the affiliate program are agreed individually with our team, based on the business you bring, its volume and agreed targets. The terms in your affiliate agreement apply.

12Changes, suspension and termination

  • We may update our products and these terms. We tell you about important changes by email before they take effect.
  • We may suspend or end access if these terms are seriously broken, or if the law requires it.
  • [Notice periods and termination terms to be confirmed.]

13Liability

[Liability terms to be drafted with legal counsel.]

14Governing law

These terms are governed by the laws of [Jurisdiction]. [Dispute resolution to be confirmed.]
